Our attorneys have represented businesses, financial institutions and private investors in connection with private equity investments with aggregate values in excess of $300 million, including complex issuances of preferred stock, warrants and convertible debt. In addition, our attorneys have formed a wide variety of private equity funds, including venture capital funds, leveraged buyout funds and fund-of-funds, with aggregate transaction values in excess of $3 billion. We have also advised clients on fund maintenance and compliance issues over the life of the funds.

Our attorneys have extensive experience representing borrowers, financial institutions and other lenders in connection with various credit finance transactions with aggregate values in excess of $7 billion. We can assist borrowers and lenders with respect to secured and unsecured credit facilities, mezzanine financings, bridge financings, convertible debt and other credit and debt financings. Our attorneys are experienced in the creation and perfection of security interests on all forms of assets, including accounts receivable, inventory, equipment, real estate, intellectual property, contracts and other collateral. Our attorneys also have experience regarding security interests in international credit transactions requiring the perfection of security interests in foreign jurisdictions.

General Corporate and Business Law
We regularly advise clients on general corporate and business matters. We understand that creating value in our clients benefits not only our clients, but also our firm. Our attorneys work with clients to maintain corporate records, including minutes of meetings of the board of directors. We frequently are asked to participate in board meetings and counsel directors regarding fiduciary duties and other legal matters. We also advise our clients on general contract matters and business questions.
We regularly advise clients on the selection of an appropriate legal entity for a business and assist in all aspects of the formation of a corporation, limited liability company, partnership or other entity. Once the entity is formed, we assist clients during the entire life cycle of a business, from raising start-up capital, through various financings, acquisitions and other transactions, to a sale, public offering or other exit event.
